1. Acceptance of Terms

By accessing or using ReplyDrop ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

ReplyDrop is a LinkedIn comment-gating SaaS platform that enables users to create sharing pages, gate content behind LinkedIn comment engagement, capture leads, and track analytics. The Service includes the web application at app.replydrop.com, serverless API functions, and webhook integrations.

3. Account Registration

To use the Service, you must:

  • Be at least 18 years of age
  • Register with a valid email address and password
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized use of your account

You are responsible for all activities that occur under your account, including any sharing pages created and API keys generated.

4. Plans and Usage Limits

The Service offers tiered subscription plans with the following limits:

  • Free: Up to 3 sharing pages and 10 conversions per month
  • Starter ($29/mo): Up to 10 sharing pages and 100 conversions per month
  • Pro ($99/mo): Up to 50 sharing pages and 1,000 conversions per month
  • Enterprise (custom pricing): Unlimited sharing pages and conversions

Rate limits also apply per plan to prevent abuse. Exceeding your plan limits will result in requests being temporarily blocked until the next billing cycle or an upgrade.

5. Acceptable Use

You agree not to:

  • Violate any applicable laws or regulations
  • Violate LinkedIn's Terms of Service through your use of ReplyDrop
  • Use the Service to distribute malicious, misleading, or harmful content
  • Submit fake or fraudulent LinkedIn comment URLs
  • Attempt to bypass rate limits or usage quotas through technical means
  • Scrape, crawl, or use automated means to access the Service without an API key
  • Use the Service to harass, spam, or abuse others
  • Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure

6. Content and Intellectual Property

You retain ownership of content you create and upload to ReplyDrop, including sharing page descriptions, resource files, and custom branding. By using the Service, you grant us a limited, non-exclusive license to host, display, and distribute your content solely for the purpose of operating the Service.

ReplyDrop and its original content, features, and functionality are owned by us and are protected by international copyright, trademark, and other intellectual property laws.

7. Sharing Pages and Visitor Data

When you create a sharing page:

  • You are responsible for the content and resources you share through your pages
  • Visitor data (LinkedIn comment URLs, IP addresses) collected through your pages is accessible in your dashboard
  • You agree to handle any visitor data you access in compliance with applicable privacy laws
  • We verify LinkedIn comment submissions via automated webhook processing but do not guarantee verification accuracy

8. Subscriptions and Payments

Paid features require a subscription processed through Stripe. By subscribing, you agree to:

  • Pay all fees associated with your chosen plan
  • Provide valid payment information through Stripe (we do not store your card details)
  • Accept that subscriptions auto-renew unless cancelled before the renewal date
  • Understand that downgrading or cancellation takes effect at the end of the current billing period

If payment fails, your account may be moved to a past-due status with reduced functionality. Refunds are handled on a case-by-case basis — contact us if you believe you are entitled to a refund.

9. API Keys and Programmatic Access

Pro and Enterprise plans may include API access. If you generate API keys:

  • You are responsible for keeping your API keys secure
  • You must not share API keys publicly or embed them in client-side code
  • We may revoke API keys that are compromised or used in violation of these Terms
  • API usage is subject to the same rate limits and quotas as your subscription plan

10. Termination

We may terminate or suspend your account at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Service will immediately cease, and your sharing pages will become inaccessible. You may also delete your account at any time through your account settings.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free. We do not guarantee the accuracy of LinkedIn comment verification or the availability of third-party services we depend on.

12. Limitation of Liability

To the maximum extent permitted by law, ReplyDrop shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or leads, whether incurred directly or indirectly, arising from your use of the Service.

13. Indemnification

You agree to indemnify and hold harmless ReplyDrop and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the Service, content you share through the platform, or violation of these Terms.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on this page. Your continued use of the Service after changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
